Terms of Service
This is the agreement between your business and ours. It sets out what we provide, what you are responsible for, what happens to money, and what we are and are not liable for. Please read clauses 4, 9, 12 and 13 in particular — they limit what you can expect from us.

src/lib/legal.ts.1.This agreement
These terms are between Saphal Techno Soft LLP (“we”, “us”), a limited liability partnership registered in India, LLPIN [LLPIN — to be confirmed], registered at [registered address — to be confirmed], and the business that registers for UdyamNext (“you”). By registering, or by using the platform, you accept them.
UdyamNext is built with our technology partner, VCNR Technologies Private Limited. Your agreement, your invoice and your payment are with Saphal Techno Soft LLP alone; the technology partner is not a party to this agreement and you have no contract with them.
Our Privacy Policy forms part of this agreement. Where the two documents overlap on how personal data is handled, the Privacy Policy governs.
2.Who can use UdyamNext
UdyamNext is for businesses. You may register only if you are at least 18, are capable of contracting under the Indian Contract Act, 1872, and are authorised to bind the business you are registering. It is not a consumer product, and the protections that apply to consumer purchases do not apply to a business-to-business subscription.
3.Your account
You are responsible for what happens under your account and for the users you invite into it. Keep your password to yourself, switch on multi-factor authentication, and tell us at enquiry@udyamnext.com as soon as you suspect someone else has access.
The information you give us at registration — business name, GSTIN, addresses — must be true and kept up to date. Much of what the platform does, from tax calculation to being found by nearby buyers, depends on it being right.
4.The service is in beta
UdyamNext is in beta. That is not a formality. It means features change, occasionally break, and are sometimes withdrawn; it means we have not yet committed to an uptime guarantee; and it means you should not rely on UdyamNext as the only copy of records your business cannot afford to lose.
You can export your data at any time, and we strongly recommend you do so regularly. When we leave beta we will publish a service level commitment and give you notice before any change to what you are paying.
5.Your data stays yours
Everything you put into UdyamNext — your customers, your stock, your invoices, your projects — belongs to your business. We claim no ownership of it.
You grant us only the permission we need to run the service for you: to store, process, back up and display your data, to transmit the specific documents you send to another business, and to produce anonymous, aggregated statistics that cannot identify you or your customers.
We do not sell your data, and we do not use your business records to train AI models for anyone other than you. On closing your account you can export everything; see the Privacy Policy for what is then deleted and what must be kept.
6.What you may not do
- Break the law, or use UdyamNext to help someone else do so.
- Upload someone else’s personal data without the right to do it, or send messages to people who have not agreed to hear from you.
- Post false, misleading or fraudulent listings, enquiries or business details.
- Try to reach another business’s data, probe our security, or reverse-engineer the platform.
- Resell or white-label UdyamNext without our written agreement.
- Upload malware, or content that infringes someone’s intellectual property.
- Place automated load on the service beyond normal business use.
7.Trading with other businesses
The network and marketplace let you find other businesses, send enquiries and quotations, and pass documents between systems. We are an intermediary. We are not a party to any contract you form with another business through UdyamNext.
We verify GSTIN where we can, but we do not vouch for any business’s honesty, solvency, quality or ability to deliver. Checking who you are dealing with is your responsibility, exactly as it would be off the platform. Disputes about goods, payment or performance are between you and the other business; we will supply the records we hold to help you resolve them.
Where a document you raise is mirrored into a counterparty’s system, what it says is what you entered. We move it accurately; we do not verify that it is correct.
8.GST, tax and compliance
UdyamNext calculates tax, produces invoices and prepares returns from the data you enter and the rates configured in the system. It is a tool, not a tax adviser. We are not a chartered accountant, a GST practitioner or a legal adviser, and nothing the platform outputs is professional advice.
You remain responsible for the correctness of your filings, the rates and classifications you apply, and for meeting your deadlines. Check the output before you file it, and take professional advice where the position is not obvious.
9.Fees, cancellation and refunds
- Founding-member registration. During the beta there is no monthly subscription. There is a one-time registration fee, which reserves your place and unlocks the full platform for the beta period. Prices shown are in Indian Rupees and exclude GST unless stated.
- Payments are collected through Razorpay. Your card and bank details go to Razorpay and are never stored on our servers.
- Cancellation. You may stop using UdyamNext and close your account at any time, from within the application or by writing to enquiry@udyamnext.com.
- Refunds. If you cancel within 14 days of paying the founding-member fee and have not made substantial use of the platform, we will refund it in full. After 14 days the fee is non-refundable, except where we withdraw the service or where the law requires otherwise. Approved refunds are returned to the original payment method within 7 working days.
- If we change the price of a plan you are on, we will give you at least 30 days’ notice, and you may cancel before it takes effect.
10.Our intellectual property
The platform itself — the software, design, documentation, and the names UdyamNext, UdyamCore, BizRadar, BizMesh, BizPulse, Scalvia, Zentra and Artha — belongs to us. Your subscription is a licence to use it, not a transfer of it. You may not copy the software, use our names or branding without permission, or present the platform as your own.
If you send us feedback or a suggestion, we may act on it freely and without owing you anything for it.
11.Suspension and closing your account
We may suspend or close an account that breaches clause 6, that we are required to act against by law, or whose fees are unpaid after we have asked. Except where the breach is serious or the law prevents it, we will warn you first and give you a chance to put it right.
You may close your account at any time. On closure you keep the right to export your data for 30 days.
12.What we do not promise
To the extent the law allows, UdyamNext is provided as is. During beta we do not promise it will be uninterrupted, error-free, or that it will meet every requirement of your business.
We do not warrant the accuracy of anything you or another business enters, the conduct or solvency of any business you find through the network, or that a tax calculation will match a position an authority later takes.
13.Limits on our liability
Nothing here limits liability that cannot be limited by law — including for fraud, or for death or personal injury caused by negligence.
Subject to that, and to the extent the law allows:
- We are not liable for indirect or consequential loss — lost profits, lost business, lost goodwill, or loss arising from a deal that did or did not happen.
- Our total liability to you, for all claims taken together in any 12-month period, is limited to the amount you paid us in that period. Where you are on the free plan, that amount is nil.
- We are not liable for a failure caused by something outside our reasonable control, including the failure of a network, a payment provider, or a government system.
These limits reflect the price of the service and the fact that it is in beta. If your business needs stronger guarantees, tell us before you rely on it and we will discuss a separate agreement.
14.Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from data you upload that you had no right to upload, or from a dispute between you and another business you dealt with through the platform.
15.Changes to these terms
We may change these terms. For a material change we will give at least 30 days’ notice by email and inside the application. If you do not accept the change, you may close your account before it takes effect; continuing to use UdyamNext after that date means you accept it.
16.Governing law and disputes
These terms are governed by the laws of India. The courts at [jurisdiction city — to be confirmed] have exclusive jurisdiction.
Before starting proceedings, please raise the matter with our Grievance Officer. Most things are quicker to fix that way, and we would rather fix them.
17.Grievance Officer
Appointed under the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Rules, 2021:
- Name: [officer name — to be confirmed]
- Email: enquiry@udyamnext.com
- Phone: +91 98440 36360
- Address: [registered address — to be confirmed]
Complaints are acknowledged within 48 hours and resolved within one month.
This page describes how UdyamNext works today. It is written to be understood, not to be impressive — if any part of it is unclear, write to enquiry@udyamnext.com and we will explain it in plain terms.
